Item 8.01. Other Events.

By letter dated April 30, 2025, The Nasdaq Stock Market LLC (“Nasdaq”) notified Scilex Holding Company (the “Company”) that it has regained compliance with the minimum bid price requirement of the Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2) (“Rule 5550(a)(2)”), which requires that the Company maintain a minimum bid price of $1.00 per share. The Company regained compliance after the closing bid price of the Company’s common stock had been at $1.00 per share or greater for ten consecutive business days, from April 15, 2025 through April 29, 2025.

On April 30, 2025, the Company issued a press release announcing that it had regained compliance with Rule 5550(a)(2). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
