Item 8.01 Other Events

On December 15, 2022, the Board of Directors (the “Board”) of Seacoast Banking Corporation of Florida (the “Company”) authorized the renewal of the Share Repurchase Program (the “Share Repurchase Program”) pursuant to which the Company may, from time to time, purchase up to $100 million of its shares of outstanding common stock. The shares may be repurchased in the open market, by block purchase, or in privately negotiated transactions from time to time, or pursuant to any trading plan adopted in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934 (the "Exchange Act"), depending upon market conditions and other factors, and in accordance with applicable regulations of the Securities and Exchange Commission, including Rule 10b-18 of the Exchange Act. The Share Repurchase Program has an expiration date of December 31, 2023, and does not obligate the Company to purchase any shares of its common stock. The Share Repurchase Program may be terminated or amended by the Board at any time prior to the expiration date. A copy of the Company’s press release is filed as Exhibit 99.1 to this Current Report on Form 8-K.
