| Remarks | The shares are being sold pursuant to "sell to cover" transactions under four separate compensatory equity awards with distinct grant dates of 2/23/22, 2/23/23, 2/21/24 and 2/19/25. Each award agreement includes a provision for non-discretionary "sell-to-cover transactions" pursuant to Rule 10b5-1(c)(1)(ii)(D)(3) under the Exchange Act and each award is intended to operate as a "Rule 10b5-1 trading arrangement" as the term is defined in Item 408(a) of Regulation S-K. |
