Explanation of Responses:

1. 25% of the award vests on September 8, 2021, and the remaining 75% of the award vests in 36 equal monthly installments thereafter, subject to the Reporting Person's continued service to the Issuer on each vesting date.

2. Due to administrative error, 100,000 shares were omitted from original Form 3 filing and also omitted from subsequent Form 4 filings by the Reporting Person.
