Explanation of Responses:

1. These restricted share units ("RSUs") were issued on December 9, 2025 to Mango Sticky Rice Limited, a Hong Kong entity of which Amanda Cassatt is a principal. The RSUs were awarded under the Bit Digital 2025 Omnibus Equity Incentive Plan in an exempt transaction pursuant to Rule 16b-3 under the Securities Exchange Act of 1934 as amended.

2. The RSUs shall vest fifty (50%) percent upon the Date of Grant; 25% three months thereafter and 25% six months following the Date of Grant.
