Explanation of Responses:

1. The shares underlying the stock option vest in 8 equal semi-annual installments beginning on October 1, 2021, provided the Reporting Person remains continuously employed by the Issuer in each such vesting date.

2. Represents restricted stock units ("RSUs"). Each RSU corresponds 1-for-1 with common stock. The Reporting Person has irrevocably elected to satisfy all withholding tax due upon the delivery of shares by authorizing Etsy, Inc. to withhold a sufficient amount of shares to satisfy such tax obligation.

3. The RSUs vest in full on March 1, 2024, provided the Reporting Person remains continuously employed by the Issuer on such vesting date.

4. The RSUs vest in 3 equal semi-annual installments beginning on April 1, 2024, provided the Reporting Person remains continuously employed by the Issuer on each such vesting date.

5. The RSUs vest in 5 equal semi-annual installments beginning on April 1, 2024, provided the Reporting Person remains continuously employed by the Issuer on each such vesting date.

6. The RSUs vest in 7 equal semi-annual installments beginning on April 1, 2024, provided the Reporting Person remains continuously employed by the Issuer on each such vesting date.
