Explanation of Responses:

1. 14,318 Restricted Stock Units (RSUs) will vest 100% on December 31, 2023. 73,684 RSUs will vest in three equal annual installments beginning on February 15, 2024. 40,193 RSUs will vest in three equal annual installments beginning on March 1, 2024. 5,550 RSUs will vest in two equal annual installments beginning on May 24, 2024.

2. Each RSU represents the contingent right to receive one (1) share of common stock, par value $0.0001 per share.

3. The option award will vest in three equal annual installments beginning on February 15, 2024.

4. 20,933 options are currently exercisable. The remaining options will vest in three equal annual installments beginning March 1, 2024.

5. 4,625 options are currently exercisable. The remaining options will vest in two equal annual installments beginning on May 24, 2024.
