Explanation of Responses:

1. The stock options were issued to the Reporting Person on May 19, 2024 (the "Grant Date"), pursuant to the Issuer's 2023 Omnibus Incentive Plan (the "Plan"). Twenty-five thousand (37,500) of the options will vest six (6) months following May 19, 2025, and twenty-five thousand (37,500) of the Option will vest twelve (12) months following May 25, 2025, subject to Mr. Weichselbaum's continued employment by the Issuer on each such vesting date.
