Explanation of Responses:

1. Each restricted stock unit represents a contractual right to receive one share of Class A common stock of Albertsons Companies, Inc. The awards will vest in three equal installments on July 12, 2022, July 12, 2023, and July 12, 2024, as long as the reporting person remains continuously employed through such respective date.

Remarks:

The reporting person was appointed as a Section 16 officer on August 5, 2021.
