Explanation of Responses:

1. Includes 4,248 shares underlying restricted stock units granted to the reporting person under the Issuers Amended and Restated 2018 Omnibus Incentive Plan. 1,033 of such restricted stock units will vest on November 8, 2022, 1,014 of such restricted stock units will vest on August 28, 2023 and 1,466 of such restricted stock units will vest on August 28, 2024.

2. The options vest in four equal annual installments beginning on November 28, 2020.
