Explanation of Responses:

1. In connection with Mr. Lewis's retirement from Lazard, these Restricted Participation Units ("PRUs") will be eligible to be sold on or around March 1, 2023 subject to any conditions contained in the Lazard Ltd 2018 Incentive Compensation Plan or Lazard Group LLC's Amended and Restated Operating Agreement.

2. Each PRU represents an interest in Lazard Group LLC that may be exchanged for one share of Class A Common Stock of the issuer.
