| 1. Represents restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of common stock of the Issuer. Of the shares underlying the RSUs, 25% will vest on August 22, 2023 and the remaining shares will vest in 36 equal monthly installments thereafter in accordance with the service-based conditions of the award, such that all such shares will be fully vested on August 22, 2026, subject to the Reporting Person's continuous service to the Issuer as of each such vesting date. |
