The 1,665 Variable Rate Muni Term Preferred Shares ("VMTP Shares") reported as acquired in Table I represent VMTP Shares of BlackRock MuniYield California Quality Fund, Inc. `(the "Issuer") beneficially owned by Wells Fargo Bank, N.A. ("WFBNA"). The VMTP Shares were purchased by WFBNA from the Issuer. The Shares were acquired for a purchase price of $100,000 per share. WFBNA is a wholly owned subsidiary of Wells Fargo & Company ("Wells Fargo"). |
| 2. This statement is jointly filed by Wells Fargo and WFBNA. Wells Fargo holds an indirect interest in the VMTP Shares listed in Table I by virtue of its indirect ownership of its subsidiary WFBNA. |
