Explanation of Responses:

1. Common Units subject to a Phantom Unit Agreement that vest on the first anniversary of the date of grant and will be settled on the second anniversary of the vesting date, subject to certain conditions and exceptions.

Remarks:

The Issuer is a Delaware limited partnership, managed by the directors and officers of its general partner, BP Midstream Partners GP LLC (the "General Partner"). Mr. Malone is a Director of the General Partner.
