1. These shares were acquired under the Company's 2013 Employee Stock Purchase Plan in a transaction that was exempt under both Rule 16b-3(d) and Rule 16b-3(c).

2. This option was granted on March 17, 2022 pursuant to the Company's 2013 Stock Incentive Plan with respect to 500,000 shares of Common Stock, with 25% vesting on March 17, 2023 and the remaining 75% vesting in 36 substantially equal monthly installments thereafter.
