Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Issuer common stock.

2. The RSUs vested 25% on September 20, 2023 and the remainder shall vest in 12 equal quarterly installments thereafter, subject to Reporting Person's continuous service through each such vesting date.
