Explanation of Responses:

1. Represents shares acquired under the Denbury Inc. Employee Stock Purchase Plan ("ESPP") for the ESPP offering period of September 1, 2022 through December 31, 2022. This transaction is exempt under Rule 16b-3(c).

2. In accordance with section 423 of the Internal Revenue Code, these shares were purchased based on 85% of the lower of the fair market value of the Issuer's common stock on the first day of an offering period or on the date of purchase.
