Explanation of Responses:

1. Reflects deferred stock units awarded June 3, 2021 in respect of the annual equity retainer due to the Reporting Person, for the Reporting Person's service as an independent director. Such deferred stock units will be settled in common stock upon the earlier of three years from the date of grant, the Reporting Person's death and the Reporting Person's separation from service from the Issuer.
