Explanation of Responses:

1. On September 2, 2022, the Company paid a dividend of $0.14 per share of common stock, and upon such payment the Company awarded a number of deferred stock units on the reporting person's existing award of deferred restricted stock units having a value equal to the amount of the per share dividend multiplied by the number of deferred stock units held by such person. Each such deferred stock unit represents a contingent right to receive one share of common stock, subject to settlement on the same terms as the respective underlying deferred restricted stock units.
