Explanation of Responses:

1. Represents restricted stock units which vest on the earlier of the one-year anniversary of the grant date and the date of the next regularly scheduled annual meeting of stockholders of the issuer, subject to continued service through the vesting date; provided, however, that the restricted stock units vest pro rata based on the number of days of service provided to the issuer in the event of a voluntary resignation other than when grounds for termination for cause exist.

2. The restricted stock units and shares of Class A common stock received by Mr. August are held for the benefit of certain client accounts (each, an "Oak Hill Advisors Entity") advised and/or managed by Oak Hill Advisors, L.P. and/or one of its subsidiary investment advisors (individually and collectively, "OHA"), pursuant to the policies of OHA.

3. Reflects securities held by Oak Hill Advisors Entities advised and/or managed by OHA. As an advisor and/or manager to the Oak Hill Advisors Entities, OHA may be deemed to have the power to vote or direct the vote of, and the power to dispose or to direct the disposition of, the shares of Class A common stock owned by such entities.

4. Glenn R. August is the Founder and Chief Executive Officer of OHA. OHA is a subsidiary business of T. Rowe Price Associates, Inc. ("TRP"). In accordance with Securities and Exchange Commission Release No. 34-39538 (the "Release"), TRP's beneficial ownership of securities is disaggregated from that of OHA and are not included herein. In addition, Mr. August and OHA each disclaims beneficial ownership of the shares held by the Oak Hill Advisors Entities beyond their respective pecuniary interest in the Oak Hill Advisor Entities for purposes of Section 16 under the Exchange Act.
