The shares of common stock were acquired by the Reporting Person as a result of the vesting of Restricted Stock Units ("RSUs") granted to the Reporting Person on November 4, 2020, under the Issuer's 2019 Stock Option Incentive Plan. The remaining RSUs vest equally on November 4, 2022 and November 4, 2023.
