Explanation of Responses:

1. Represents award of restricted stock units ("RSUs") that will vest in three equal installments over the three year period from the grant date, subject to continued service as an employee of Renewable Energy Group, Inc. (the "Company"). RSUs may be settled only for shares of common stock on a one-for-one basis.

2. Each performance right represents a contingent right to receive shares of the Company's common stock, subject to continued employment and other conditions. One tranche of the performance-based RSUs ("PRSUs") will vest upon the Company's absolute total shareholder return equal to or exceeding certain targets during the applicable performance period. The other tranche of the PRSUs will vest upon the Company achieving certain returns on invested capital during the applicable performance period. The number of shares issued upon settlement could be 0%-200% of the number of shares shown in the table depending on actual performance during the applicable performance period, with the number of shares shown in the table based on target performance.
