Explanation of Responses:

1. As described in the Issuer's Registration Statement on Form S-1, as amended (File No. 333-253569) (the "Registration Statement"), under the heading "Description of Securities," the Class B common stock will automatically convert into Class A common stock of the Issuer at the time of the Issuer's initial business combination and have no expiration date.

2. The forfeiture of Class B common stock for no consideration is a result of the underwriters not exercising the over-allotment option in full.

3. The number of shares being reported represents the current ownership of the reporting person and reflects the forfeiture of 1,125,000 shares of Class B common stock that was previously reported on the original Form 3. The forfeiture of the 1,125,000 Class B common stock occurred when the underwriters of the units offered in the Company's initial public offering did not exercise the over-allotment in full.
