Explanation of Responses:

1. Comprised of shares subject to restricted stock units ("RSUs") granted to the Reporting Person in connection with his prior appointment to the Issuer's board of directors. 1/3rd of the RSUs shall vest on September 6, 2022 with the remaining RSUs vesting in equal installments of 1/12th of the total number of RSUs on each Quarterly Vesting Date (December 6, March 6, June 6, and September 6) thereafter, subject to the Reporting Person's Continuous Service through each such date.
