Explanation of Responses:

1. Represents Restricted Stock Units that vest in full on the earlier to occur of May 25, 2022 and one day prior to the date of the Company's next annual meeting of stockholders. The Reporting Person has deferred settlement of the Restricted Stock Units until the earlier to occur of the Reporting Person's termination of service and a change of control.

2. Represents Restricted Stock Units with respect to which the Reporting Person has deferred settlement as described above.

3. The Option becomes exercisable in twelve equal monthly increments beginning on June 25, 2021.
