1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock. The restricted stock units vest in four equal installments on each of November 14, 2023, 2024, 2025 and 2026.

2. The restricted common stock units were awarded in an exempt transaction pursuant to Rule 16b-3(d) of the Securities Exchange Act of 1934, as amended.
