Explanation of Responses:

1. Shares are time-based restricted stock units ("RSUs") awarded pursuant to the Issuer's 2021 Equity Incentive Plan and the Issuer's Non-Employee Director Compensation Policy. The RSUs subject to this award will fully vest on the earliest of the first anniversary of the grant date of May 16, 2022 and the Issuer's next annual stockholder meeting, subject to the reporting person's continued service through the vesting date. Notwithstanding the foregoing, the vesting of the RSUs will accelerate in full upon a change in control (as defined by the Issuer's 2021 Equity Incentive Plan), subject to the reporting person's continued service through the date of such change in control.
