1. Represents an increase in the securities underlying the equity award as a result of a dividend paid on the Company's common stock which entitles this award to receive dividend equivalents subject to the terms of the underlying award.

2. Each restricted stock unit represents the right to receive one share of Whiting Petroleum Corporation common stock. The restricted stock units vest on June 1, 2022.
