Explanation of Responses:

1. Consists of 148.23 stock units credited to the Reporting Person in the form of dividend equivalent units on stock units previously granted to the Reporting Person. These stock units will vest and become payable on the same terms as the original stock units to which they relate.

2. Consists of: (i) 6,265 shares of common stock; (ii) 1,048.11 stock units vesting on January 1, 2022; (iii) 796.32 stock units vesting on January 1, 2022; (iv) 9,574.47 stock units vesting in two substantially equal annual installments beginning on January 1, 2022; and (v) 9,856.68 stock units vesting in three substantially equal annual installments beginning on January 1, 2022.
