Each RSU represents the Reporting Person's right to receive one share of Common Stock of Issuer, subject to the vesting schedule: 100% vest on the one year anniversary date or the date of the 2023 Annual Shareholder Meeting, whichever is earlier, subject to the Reporting Person continuing as a service provider through each such date.
