Explanation of Responses:

1. These shares were sold by the Reporting Person to cover tax withholding obligations in connection with the vesting of restricted stock units (RSUs) which vested in favor of the Reporting Person on the date of the Issuer's 2023 annual meeting of stockholders, which was held on July 7, 2023. The RSUs vested during a blackout period causing a delay in the sale of shares.
