Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock pursuant to the Maxar Technologies Inc. 2019 Incentive Award Plan. The RSUs were granted as part of the non-employee director's annual compensation and vest in full on the earlier of February 28, 2024 or a change in control of the Issuer.

2. Granted by the Issuer for no consideration.

3. Amount reported includes 3,801 unvested restricted stock units.
