Explanation of Responses:

1. Represents shares withheld by the Issuer to satisfy tax withholding obligations in connection with the release of vested RSUs.

2. Consists of 219,650 restricted stock units, 25% of which will vest on August 15, 2024, with the remaining shares vesting in equal semi-annual installments through August 15, 2027, subject to the Reporting Person's continued service to the Issuer.
