Explanation of Responses:

1. Represents a Restricted Stock Unit ("RSUs") award granted under the Plantronics, Inc. 2003 Stock Plan, as amended and restated. One-third of the total number of RSUs granted will vest over 3 years on an annual basis subject to continued employment; and upon any termination of employment, any RSUs that have not vested will be forfeited to the Company.

2. Includes the voluntary reporting of 88.75 shares acquired on August 13, 2021, under the Plantronics, Inc. 2002 Employee Stock Purchase Plan, as amended and restated. Also includes 16,273 unvested RSUs.
