Explanation of Responses:

1. Restricted stock units ("RSUs") granted pursuant to Issuer's 2021 Equity Incentive Plan as part of Reporting Person's compensation for service as a director of Issuer. The RSUs represent a contingent right to receive common stock of Issuer upon vesting. The RSUs vest 100% on either June 8, 2023, which is the first anniversary of the vesting commencement date, or as of the 2023 annual meeting of stockholders of Issuer, whichever is earlier.
