| 2. Securities held by ELOS Sports and Entertainment, LLC ("ELOS"). Mr. Evans may be deemed to beneficially own the securities held by ELOS. Mr. Evans expressly disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein. |
| 3. On October 31, 2020, the Company granted Mr. Evans restricted stock units for 100,000 shares of the Company's common stock covering two years of service as a director, 50% vesting in four equal quarterly installments commencing on February 1, 2021, and 50% vesting on January 1, 2022, provided Mr. Evans remains a director of the Company. This Form 4 reflects the vesting of 50,000 shares of common stock on January 1, 2022. |
