Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs") under the Issuer's 2020 Equity Incentive Plan pursuant to the Issuer's Non-Employee Director Compensation Policy. Each RSU represents a contingent right to receive one share of Issuer's Class 1 Common Stock. In accordance with the Non-Employee Director Compensation Policy, the RSUs became fully vested on the date of grant and the Reporting Person received one share of Class 1 Common Stock for each vested RSU.
