Explanation of Responses:

1. On February 17, 2022, 5,000 restricted shares of Mr. Faught's Company stock, granted February 17, 2020, vested. On February 18, 2022, an automatic broker sale of 1,497 of the 5,000 newly-vested shares was effected to satisfy the tax withholding obligation triggered upon the February 17 vesting. The automatic broker sale of newly-vested shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of restricted stock.

SEC Form 4: Faught James R. covered exercise/tax liability with 1,497 shares, decreasing direct ownership by 1% to 141,375 units to cover withholding tax
