Explanation of Responses:

1. Shares of Restricted Common Stock were issued to the Reporting Person pursuant to the Issuer's 2019 Equity Incentive Plan and are subject to forfeiture. The shares vest at the rate of 1/4 of the shares on July 1 and October 1, 2020 and January 1 and April 1, 2021, subject to the Reporting Person's continued service to the Company on such vesting dates, and subject to the terms and conditions of a Restricted Shares Grant Agreement entered into by and between the Issuer and the Reporting Person. Exempt under Rule 16b-3(d).

2. Issued to the Reporting Person in consideration for services rendered and agreed to be rendered to the Issuer as a member of the Board of Directors.

3. This Amended Form 4 is being filed to update the Reporting Person's beneficial ownership to include 981 shares of common stock which were inadvertently left out of the original filing.
