Explanation of Responses:

1. Represents an annual equity grant in respect of 2021 of 37,539 Restricted Share Units awarded under the Seritage Growth Properties 2015 Share Plan on March 15, 2022, based on a per share grant date value of $11.31. This award will vest in substantially equal installments on the anniversaries of the date of grant in 2023, 2024, and 2025.

2. Includes 46,636 unvested RSUs, as of the date of this filing, after taking into account the transaction reported herein.
