| 1. These restricted stock units ("RSUs") were granted pursuant to the Near Intelligence, Inc. 2023 Equity Incentive Plan. Each RSU represents a contingent right to receive one share of the issuer's common stock, par value $0.0001 per share. One-fourth of the RSUs vested on June 30, 2023, and the remainder will vest ratably at a rate of 6.33% at the end of each subsequent quarter thereafter, subject to the reporting person's continued employment with the issuer through the applicable vesting dates and certain early vesting conditions. |

Represents shares of common stock of the issuer withheld by the issuer to satisfy tax withholding obligations in connection with the vesting of 8,075 restricted stock units granted to the reporting person on March 23, 2023.
