Explanation of Responses:

1. The Issuer's director compensation policy provides for an award to the Reporting Person immediately following the Issuer's 2023 annual meeting of stockholders of common stock having a market value of $124,000. In connection with the award made by the Compensation Committee on May 23, 2023, the Reporting Person waived the award of 112 shares of common stock, resulting in an award to him of 112 shares rather than 224 shares that he would have received absent such waiver.

2. The number of shares of common stock granted for all of the awards described above was based on the closing price per share of the Issuer's common stock on May 23, 2023 of $553.31.
