Explanation of Responses:

1. Avon Road Partners, L.P. ("Avon Road") transferred 1,000,000 shares of Common Stock to a trust of which Avon Road is a beneficiary, but has no investment control over the securities held by the trust. The reporting persons no longer have a beneficial ownership in the transferred shares.

2. Mr. Berman is the general partner of Avon Road.
