1. These shares represent restricted stock units and will be settled in common stock upon vesting, which will occur one-third per year beginning on the first anniversary of the date of grant.

The reporting person disclaims beneficial ownership of the securities held by Bernstein Limited Partnership II, for which he is the General Partner, except to the extent of his individual pecuniary interest therein.
