Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's common stock upon vesting.

2. On May 20, 2024, the reporting person was granted a total of 66,667 RSUs, which vest on the first-year anniversary of the grant date, unless the reporting person leaves in good standing before such vesting date, in which case the RSUs will vest pro-rata based on months served. Pursuant to the issuer's Director Equity Deferral Program, the reporting person has elected to defer receipt of the shares of common stock upon vesting of the RSUs to such time that is within 30 days following the reporting person's departure from the issuer's board of directors.
