Explanation of Responses:

1. The Class B ordinary shares will automatically convert into Class A ordinary shares concurrently with or immediately following the consummation of the Issuer's initial business combination on a one-for-one basis, subject to adjustment, and have no expiration date.

2. These Class B ordinary shares were repurchased from Dale Mathias, a former member of the Issuer's board of directors who resigned effective April 15, 2023, for an aggregate purchase price of $145.00.

Remarks:

Marcus Brauchli is a manager of Blue Ocean Sponsor LLC and serves as a director on the Issuer's board of directors. As such, Blue Ocean Sponsor LLC may be deemed a director by deputization of Mr. Brauchli.
