1. Includes the grant of 3,500 restricted stock units pursuant to the Issuer's 2021 Incentive Plan that vest in equal installments at the rate of 20% per year commencing on May 12, 2024 and that may be settled only in shares of the Issuer's common stock.

2. Includes 10,000 shares held jointly with the reporting person's spouse.

3. Includes the grant of 1,425 restricted stock units pursuant to the Issuer's 2014 Incentive Plan that vest in equal installments at the rate of 20% per year commencing on March 12, 2021 and that may be settled only in shares of the Issuer's common stock.
