Explanation of Responses:

1. The exercise price of the non-employee warrant is 41.27 Euros. The U.S. dollar equivalent of the exercise price is $49.66 using an exchange rate as of February 4, 2021 of $1.00 = 0.83113 euros.

2. The Ordinary Shares underlying the warrant vest in four equal quarterly installments beginning on May 4, 2021.

3. The Ordinary Shares may be represented by American Depositary Shares, each of which currently represents one Ordinary Share.

4. The subscription price of the non-employee warrant is 1.94 Euros per warrant. The U.S. dollar equivalent of the subscription price is $2.34 using an exchange rate as of February 4, 2021 of $1.00 = 0.83113 euros.
