Explanation of Responses:

1. The restricted stock units are scheduled to vest on the earlier of March 28, 2023 and the day immediately prior to the date of the next annual meeting of the shareholders of Convey Health Solutions Holdings, Inc. (the "Issuer") following March 28, 2022, subject to Mr. Campanelli's continued service with the Issuer through the applicable vesting date. Each restricted stock unit represents a contingent right to receive one share of Issuer common stock. The restricted stock units will be settled in common stock.
