Explanation of Responses:

1. These options were granted on December 9, 2024. These options shall vest in three equal tranches on each of December 9, 2025, December 9, 2026 and December 9, 2027.

2. Each restricted share unit (RSUs) represents a contingent right to receive one share of the issuer common stock, an equivalent amount of cash, or a combination thereof upon vesting.

3. The RSUs will vest on December 9, 2027.
